Central America · Belize company limited by shares under the Companies Act 2022 (including former IBCs)

Belize: company privacy, registration and tax

Belize now uses a unified company framework. Former IBCs must not be promoted as universally tax exempt: official tax notices require annual business-tax returns, and gross-receipts taxes cannot be compared as a simple corporate-profit percentage.

Company registration and maintenance

Official formation fee

Published low-capital company band: BZD300 via the eligible self-registration column, or US$150 via registered agent; above the schedule’s capital threshold BZD2,000 / US$1,000. These are different routes, not a currency conversion.

Annual state fee

Low-capital annual return/renewal: BZD200 self-registration or US$250 via agent; higher band BZD2,000 / US$1,000. Agent professional charges are additional. Confirm the schedule’s exact boundary.

Share capital

Fee schedule uses a 50,000 capital threshold; confirm currency, authorised-capital wording and route before filing.

Directors

Director identity must be kept accurate in OBRS and company records; minimum composition should be confirmed in current amended Act.

Shareholders

Shareholder and beneficial-owner information must be accurately supplied and maintained; confirm share structure before incorporation.

Office / registered agent

Registered office and, where required by registration route/non-resident arrangements, a licensed registered agent.

Published timing

OBRS is the official registration platform; no guaranteed KYC-to-incorporation time verified.

What the public can see

Directors / managersRestricted accessShareholdersRestricted accessBeneficial ownersNot ordinarily publicAccountsNot verified
Directors / managers

Under regulation 57 an ordinary outsider receives only a short extract. Access to full records requires statutory entitlement; do not assume a full director list is public.

Shareholders

The same short-extract/full-record distinction restricts ordinary access to filed shareholder details. Entitled persons have statutory routes.

Beneficial owners

Companies and service providers must identify natural-person beneficial owners, maintain records and submit information through the regulatory framework. Ordinary public BO access was not established.

Accounts

Full public accounts-access treatment was not independently verified from the current amended Act; do not assign maximum privacy.

Limited public extracts do not restrict FSC, tax-authority or lawful investigatory access. Provider KYC and accurate annual information remain required.

Public-access rating not verified. This concerns ordinary public access. It does not remove ownership disclosure to authorities, banks or regulated providers. How the rating is calculated.

Profits, company tax and distributions

Ordinary company treatment

Business tax is activity- and receipts-based; no reliable universal profit-rate percentage

Standard headline comparison rate

Not directly comparable — before lower bands and conditional reliefs

Retained-profit comparison

Not directly comparable — company layer

Distributed-profit comparison

Not directly comparable — company layer, excluding owner’s tax and outbound withholding

Conditional reliefs / alternatives

Tax exposure depends on business activities, Belize-source income, permanent establishment and the applicable income/business-tax framework. Foreign-income status needs a documented assessment.

Distributions / withholding

The official business/income-tax guide lists 15% dividend withholding for relevant non-resident payments; exemptions and the precise payer/payment scope require current confirmation.

Other tax conditions

Business-tax rates apply to gross receipts by sector, not to gross pre-company-tax profit. Standard, retained and distributed profit ranking values are therefore null. Former IBC status does not waive current return duties.

The former IBC label is not a tax opinion

Belize Tax Service’s 2025 notice requires companies formerly known as IBCs to file annual business-tax returns and update registration details. Filing obligations and whether tax is ultimately due are different questions. A foreign-owned company needs a source-of-income and permanent-establishment analysis before any exemption is claimed.

Compare taxes on the correct base

A receipts-based charge may be substantial for a low-margin business even when its percentage looks smaller than another jurisdiction’s profit tax. A useful quote should model expected turnover, deductible-cost treatment, domestic activity and distributions, not display a generic offshore 0% label.

What a third party can obtain

Company regulations distinguish a short extract from the full record available to statutorily entitled requesters. The annual-return forms contain more information than an ordinary outsider’s extract. Separately, the 2025 BO guidance requires companies and legal arrangements to establish and maintain accurate ownership information.
